TΛPΛT is a payment and rewards platform that enables peer-to-peer payments, loyalty rewards, referral-based profit sharing, and a community marketplace. The platform operates at tapat.dev (wallet app) and marketplace.tapat.dev (marketplace). These Terms are a binding agreement between you and TΛPΛT Holdings, Inc., a Delaware corporation ("TΛPΛT," "we," "us," or "our").
TΛPΛT is not a bank, money transmitter, or licensed financial institution. Wallet balances represent credits within the TΛPΛT platform and are subject to these Terms. External funding and withdrawals are facilitated through our licensed third-party payment processors, Stripe and (once onboarding is complete) PayMongo.
You may use TΛPΛT only if you:
By creating an account, you represent and warrant that you meet all eligibility requirements.
You must provide accurate, current, and complete information when registering. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
Your TΛPΛT wallet holds two balance types:
Your spendable USD-denominated balance, used to make payments and marketplace purchases. This balance can be funded from external sources via Stripe (and, once onboarded, PayMongo) and may be withdrawn subject to applicable limits and verification requirements.
A separate balance used exclusively to pay gas fees on outgoing transactions. Gas fees are charged automatically from your Gas Balance at the time of each payment. You are responsible for maintaining sufficient Gas Balance to complete transactions.
Every outgoing payment transaction incurs a gas fee charged to the payer's Gas Balance according to the following tiered schedule:

Gas fees collected from each transaction fund the TΛPΛT reward ecosystem, including user cashback, referrer rewards, a monthly leadership bonus pool, platform operations, and TPT token burn. The precise allocation of gas among these categories, including reward rates, eligibility thresholds, and distribution algorithms, is proprietary to TΛPΛT and may be updated from time to time. Your current reward activity is visible within the TΛPΛT app.
Sellers may optionally fund additional loyalty rewards on their marketplace listings. These rewards are distributed according to TΛPΛT's reward algorithms at the time of order fulfillment.
TΛPΛT's native deflationary token, TPT, operates exclusively within the TΛPΛT platform. A portion of the gas collected on every transaction is used to permanently burn TPT from circulating supply, which over time reduces supply and supports the TPT/USD exchange rate.
TΛPΛT operates a referral rewards network through which users earn rewards based on the activity of users they refer. By participating, you agree that:
We reserve the right to adjust reward rates, eligibility thresholds, and distribution rules with 30 days' notice to registered users.
TΛPΛT enforces activity requirements to maintain network integrity. Inactivity is defined as having no login and no payment transaction within the applicable period.

Reactivation (logging in and making a payment) restores your account to Active status and stops further inactivity progression. Forfeited accounts cannot be reactivated.
The TΛPΛT Marketplace allows users to list and purchase products, services, rentals, tickets, digital goods, and deals. Use of the marketplace is subject to the following rules:
TΛPΛT administration reviews reported orders and may resolve disputes by approving fulfillment or issuing a refund at our sole discretion. Our dispute decisions are final.
TΛPΛT uses third-party payment processors to facilitate wallet funding and withdrawals. By using these features, you agree to the applicable processor terms listed below.
Card-based wallet funding for users in Stripe-supported countries is processed by Stripe, Inc. By funding your wallet via card, you also agree to Stripe's Connected Account Agreement and Stripe's Services Agreement.
TΛPΛT is in the process of onboarding with PayMongo Philippines, Inc., a BSP-regulated payment facilitator. Once active, users transacting in Philippine Peso (PHP) or using Philippine payment methods (GCash, Maya, bank transfers) will have their payments and KYC processed by PayMongo pursuant to BSP regulations. When active, use of these services will also be subject to PayMongo's Terms of Service.
We will update these Terms and notify registered users when PayMongo integration is live.
To comply with applicable financial regulations and prevent fraud, TΛPΛT requires identity verification (Know Your Customer, or "KYC") for certain platform features. KYC may be performed by TΛPΛT directly, by Stripe Identity, by PayMongo (for PHP users), or by a combination of these, depending on jurisdiction, transaction type, and applicable law.
Passport, National ID, Driver's License, or Government-issued ID card. For Philippine users, PhilSys, UMID, SSS, GSIS, PRC ID, Voter's ID, and Postal ID are accepted. All IDs must be valid and not expired.
Wallet load transactions are generally final once processed and are not directly refundable by TΛPΛT except in cases of verified processing error or where required by law. Nothing in this section limits any statutory rights you may have to dispute a charge through your card issuer, bank, or payment provider — including rights under U.S. Regulation E (for bank/ACH transfers), Regulation Z (for credit cards), or comparable consumer protections in your jurisdiction — or to initiate a chargeback through your card network.
If you believe a load was processed in error, please contact support@tapat.dev within 60 days of the transaction so we can attempt to resolve the issue directly. Where you initiate a chargeback without first contacting us, TΛPΛT may, to the extent permitted by applicable law, freeze your account pending investigation and recover the disputed amount (including any funds already moved from the Available Balance) from your remaining wallet balance and future credits.
Marketplace purchases are refundable only if you report an issue before confirming fulfillment. Once you click "Mark as Fulfilled," the transaction is final and irreversible. Refunds for reported orders are at TΛPΛT's sole discretion following an administrative review.
By creating a TΛPΛT account and verifying your phone number, you expressly consent to receive text messages (SMS) from TΛPΛT Holdings, Inc. at the mobile number you provide. Consent is not a condition of using the TΛPΛT service or purchasing any goods or services.
We may send the following types of SMS messages:
We do not send promotional or marketing text messages. All messages are transactional and directly related to your account activity.
Message frequency varies based on your account activity. You may receive a one-time passcode each time you sign in or verify your account. Payment notifications are sent only when a relevant transaction occurs.
Message and data rates may apply. Rates are determined by your mobile carrier and plan. TΛPΛT does not charge you for SMS messages; however, your carrier may charge for receiving text messages depending on your plan.
You may opt out of transactional SMS notifications at any time by visiting your Account settings within the TΛPΛT app and disabling SMS notifications. You may also reply STOP to any text message you receive from us. Please note that opting out of SMS notifications does not affect your ability to use the TΛPΛT platform; however, you will no longer receive real-time alerts for account activity. One-time passcodes for account sign-in may still be delivered by alternative methods (such as email) if SMS notifications are disabled.

SMS messages are supported on major carriers worldwide including, but not limited to, AT&T, T-Mobile, Verizon, Sprint, Boost Mobile, MetroPCS, U.S. Cellular, Globe Telecom, Smart Communications, DITO Telecommunity, and regional carriers. Carrier availability may vary by country.
Your phone number is used solely to deliver account-related messages as described above. We do not sell, rent, or share your phone number with third parties for marketing purposes. For full details on how we handle your personal information, please review our Privacy Policy.

You may close your account at any time by contacting support@tapat.dev. Upon closure, any remaining Available Balance will be returned to you via your linked payment method, less any applicable fees and outstanding obligations.
TΛPΛT may suspend or terminate your account at any time, with or without notice, if:
Upon termination for cause, we may retain balances as permitted by applicable law and these Terms. Provisions of these Terms that by their nature should survive termination (see Section 19, Survival) will do so.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TΛPΛT AND ITS OPERATORS SHALL NOT BE LIABLE FOR:
Our total aggregate liability to you for any claim arising from your use of TΛPΛT shall not exceed the amount of funds held in your wallet at the time the claim arises, or $100 USD, whichever is lesser.
These Terms are governed by the laws of the State of Utah, United States, without regard to conflict of law principles.
Before initiating formal legal proceedings, you agree to contact us at support@tapat.dev and give us 30 days to attempt informal resolution.
Any disputes not resolved informally shall be settled by binding arbitration administered under the rules of the American Arbitration Association (AAA), on an individual basis. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Nothing in this section prevents either party from seeking emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm.
We may update these Terms at any time. When we make material changes, we will notify you by updating the effective date and, where appropriate, sending notice to your registered email address with at least 30 days' advance notice for changes that affect your financial rights.
Your continued use of TΛPΛT after changes take effect constitutes your acceptance of the updated Terms. If you do not agree, you must stop using the platform and close your account before the changes take effect.
If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable while giving effect to the parties' original intent.
These Terms, together with the Privacy Policy and any service-specific terms referenced herein, constitute the entire agreement between you and TΛPΛT regarding your use of the platform and supersede all prior or contemporaneous agreements, representations, or understandings, whether written or oral.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative of TΛPΛT to be effective.
You may not assign, transfer, or delegate these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms at any time, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets, in which case these Terms will bind your successors and assigns.
You consent to receive communications, notices, disclosures, and agreements from TΛPΛT electronically (by email, through the platform, or by SMS where applicable). You agree that electronic signatures, acceptances (including clicking "Accept" or equivalent), and records have the same legal effect as handwritten signatures and paper records, to the maximum extent permitted by law (including the U.S. E-SIGN Act and the Philippine Electronic Commerce Act).
Neither party shall be liable for any failure or delay in performance caused by circumstances beyond reasonable control, including natural disasters, acts of war or terrorism, civil unrest, epidemics, pandemics, labor disputes, internet or power outages, cyberattacks, failures of third-party service providers, or acts of government.
The following provisions will survive any termination of these Terms: Section 6 (TPT Token, to the extent governing already-issued tokens), Section 8 (Inactivity & Forfeiture), Section 12 (Refund & Withdrawal Policy, for transactions occurring before termination), Section 16 (Disclaimers & Limitation of Liability), Section 17 (Disputes & Governing Law), this Section 19 (General Provisions), and any accrued payment obligations between the parties.
Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and TΛPΛT. Neither party has authority to bind the other.
