1. Definitions

TΛPΛT — The platform, application, and all associated services operated by TΛPΛT LLC.

User — Any individual who creates and maintains a TΛPΛT account.

Vendor — A business or individual registered on TΛPΛT to accept payments and offer loyalty rewards.

Wallet — Your digital account balance maintained within the TΛPΛT internal ledger.

TPT — TΛPΛT's internal token unit. All balances are stored in TPT and converted to your chosen display currency.

Gas — The value redistribution mechanism applied to every transaction. Gas is not a charge but a structured allocation of transaction value that funds rewards, burns TPT, and supports platform operations.

Gas Balance — A personal gas reserve funded by 10% of all incoming funds, used to cover withdrawal gas and transaction gas.

Available Balance — 90% of all incoming funds, available for spending and withdrawal.

Loading Gas — A 2% gas charge on all deposits, waived proportionally as funds are spent through outgoing payments.

Outgoing Payment — Sending funds to another User or paying a Vendor. Receiving, requesting, or loading funds does not qualify.

Forfeit Hold — A 12-month protected period beginning after 12 months of inactivity. Balance is held pending reactivation.

Reactivation Window — The 12-month Forfeit Hold period during which a User may reclaim their balance.

2. Eligibility

You must be at least 18 years of age, provide accurate registration information, and not be prohibited from using financial services under applicable law. One account per person. Creating multiple accounts is prohibited.

3. Wallet, Loading & Gas

3.1 Loading Funds

All incoming funds are split automatically: 90% → Available Balance, 10% → Gas Balance. You see the full amount credited to your wallet immediately.

3.2 Seven-Day Hold

Each load batch is subject to a 7-day hold before withdrawal. Card loads have a 14-day hold. The hold does not prevent using funds for outgoing payments.

4. Withdrawals

A 5% withdrawal gas applies to all withdrawals, sourced from your Gas Balance. You receive 100% of your Available Balance unless Gas Balance is insufficient (shortfall deducted from Available Balance). Allocation: 1% TPT Burn + 4% Admin Gas Collections.

If no outgoing payment was made before withdrawing, a 2% loading gas is added (total 7% withdrawal gas), sourced from Gas Balance first.

Identity verification (KYC) is required before your first withdrawal. Monthly withdrawal limit: $500 (increases as platform grows).

Profit Sharing distributes up your referral tree starting at L2 (50% L2, 20% L3, 10% L4, 10% L5, 2% each L6–L10). Missing levels go to Admin Profit.

6. Vendor Loyalty Rewards

Vendors may offer additional loyalty rewards (10%, 20%, 50%, or custom). These are in addition to Gas and distribute as: 50% → You (instant), 20% → Your L1 referrer (instant), 20% → Profit Sharing, 10% → Leadership Pool.

7. Inactivity & Reactivation

• 3 months no outgoing payment — Inactive (50%) status — profit share reduced
• 6 months no outgoing payment — Dynamic Compression applied (referral tree shifts up temporarily)
• 12 months inactive — Balance enters protected Forfeit Hold (12-month Reactivation Window begins)
• Reactivation — Log in + complete one outgoing payment within Reactivation Window. 5% Reactivation Gas applied to held balance.
• 24 months inactive — Balance permanently forfeited

TΛPΛT will send notification alerts at 3 weeks, 2 months, 9 months, 11 months, 12 months, 18 months, 23 months, and 24 months of inactivity.

8. TPT Token

TPT is TΛPΛT's internal accounting token. It is not a cryptocurrency and is not traded on any public exchange. The TPT-to-USD exchange rate is determined by TΛPΛT based on total supply and total ledger value. Every transaction burns a small amount of TPT, reducing supply over time and potentially increasing the value of remaining TPT. TΛPΛT does not guarantee any specific exchange rate or appreciation.

9. Referral Program

Each User receives a unique referral code. Referral relationships are permanent. Self-referral, coordinated manipulation, or artificial inflation of referral earnings is prohibited and may result in account termination.

10. Prohibited Activities

Money laundering, fraud, multiple accounts, sending funds to sanctioned parties, harassment, or manipulation of the Gas or referral systems is prohibited.

11. Disclaimers

TΛPΛT is not a bank. Balances are not deposits and are not government-insured. TΛPΛT does not guarantee reward availability or continuity. Liability is limited to fees paid in the prior 12 months.

12. Notifications & SMS Messaging Policy

Account safety and security notifications cannot be disabled. Transaction, reward, and network notifications may be managed in Account settings.

12a. SMS Messaging Program — Opt-in, Frequency, and Opt-out

Program name: TΛPΛT Transaction & Account Notifications.

Who can send you SMS: TΛPΛT Holdings, Inc. will send you text messages only to the mobile number you provide at account creation or subsequently update in Account settings.

Types of messages you may receive:

• One-time verification codes for sign-in, sensitive action confirmation, and password reset.
• Transaction confirmations, including payments sent, payments received, wallet loads, and withdrawal status updates.
• Security alerts, including suspicious login attempts, unrecognized device sign-ins, and balance threshold notifications.
• Account alerts, including payment requests received from other users, invite acceptance notifications, and referral tree updates.

TΛPΛT does not send promotional or marketing text messages through its SMS program. All messages are transactional or related to your account activity.

Message frequency: varies based on your account activity. Typical active users receive fewer than 30 messages per month. One-time passcodes are sent only when you request them. Transaction confirmations are sent when you or someone paying you completes a transaction.

Message and data rates may apply based on your mobile carrier's plan. TΛPΛT does not charge you for SMS messages. Your carrier may.

How to opt out: Reply STOP to any message to unsubscribe from all TΛPΛT SMS notifications at any time. You will receive a final confirmation message, after which no further messages will be sent unless you re-opt-in. You may also disable SMS notifications in your Account settings.

Carriers: Carriers (including but not limited to AT&T, Verizon, T-Mobile, Sprint, U.S. Cellular, and Boost Mobile) are not liable for delayed or undelivered messages.

Consent is not a condition of service. You can use TΛPΛT without providing a mobile number; however, some features such as phone-based sign-in, SMS-delivered payment invites, and SMS receipts will not be available. Email-based verification and notifications remain available as alternatives.

Privacy: Your mobile number is used solely for the purposes stated above and is not shared with third parties for marketing. Mobile opt-in data and consent are not shared with any third parties for any purpose.

12b. Email Notifications

Transactional email notifications are delivered on the same activity triggers as SMS. You may manage your email notification preferences in Account settings. Account security and legal-compliance emails cannot be disabled.

13. Modifications

TΛPΛT may modify these Terms with 30 days notice. Continued use constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of Utah, United States. Disputes resolved through binding arbitration in Utah.
